  • •Anthropic commits shares to a public benefit fund, with 5% subject to stockholder approval
  • •Board may add 2% for each 50% increase in company value above a baseline
  • •Roughly 20% of shares will support public benefit, including founder and employee commitments

Anthropic said today it is committing part of its shares to the Anthropic Public Benefit Fund, a new entity designed to dedicate a growing share of the company to public benefit. Subject to stockholder approval, 5% of shares will be committed now. The board may add 2% for every 50% increase in the company’s value above a baseline.

Anthropic said most mission-related work will remain inside the public benefit corporation, including AI safety and interpretability research, applied biomedical research, and Claude discounts for nonprofits and scientific institutions. The Fund would let Anthropic pursue other forms of giving, such as large donations to traditional nonprofits or direct distributions to specific populations.

The company cited labor market impacts as one possible focus: it has committed $200 million to studying and addressing the issue, while saying the pace of AI progress may call for bolder approaches. Anthropic is setting up the Fund as a wholly owned LLC to allow flexibility among forms of giving. Equity held by the LLC will not be used for lobbying or political giving in the US or abroad.

Anthropic said its founders pledged to donate 80% of their equity holdings when the company was founded, and the company has since matched employee equity donations. Approximately half of employees participate. With the Fund commitment, roughly 20% of Anthropic shares will be dedicated to public benefit, plus any additional shares added at valuation milestones. The company plans to share more about the Fund’s structure, governance and valuation milestones in the coming months, and publish a report on progress toward its mission.
